I. Interpretation of terms
1. “Website” is an information system that is used to set up the website of the National Payment Corporation of Vietnam (NAPAS), presented in the form of symbols, numbers, letters, images, sounds and other forms of information for the provision and use of information in the cyberspace.
2. “Website content” is any information, data, documents, resources, texts, designs, graphics, interfaces, images, audio files, inventions, trademarks, trade names, NAPAS logo templates, products, services, trade secrets or other materials of NAPAS posted and/or created on the Website. All of the Website Content is the legal property of and owned by NAPAS.
3. “Terms of Use” are the terms of use of the Website stated herein and posted on the Website.
4. “User” is an individual and/or organization accessing the Website to use the Website Content.
II. Intellectual Property Rights
1. The Website and the Website Content are owned/copyrighted by NAPAS and/or the third party that licenses to NAPAS, protected in accordance with the provisions of the Intellectual Property Law of Vietnam and other relevant laws.
2. The User has no rights, claims or interests in relation to the Website content. The User agrees not to make any representation, or take any action to establish, exercise any rights, or claims to the Website content.
3. Except for the following cases (i) specified in Clause 1, Section IV; or (ii) obtaining NAPAS’s prior written approval; or (iii) permitted by the Vietnam laws, the following acts will be considered an infringement of NAPAS’s intellectual property rights:
a. Any use, copying, recycling, republishing, modification, storage, reproduction, transmission, distribution, renting, leasing, selling or commercial exploitation of any Website Content by any ways;
b. Distributing, translating, modifying, decoding, creating derivative work(s), tampering with the Website Content in any ways;
c. Other infringement of intellectual property rights under the Intellectual Property Law and relevant legal regulations.
III. Rights of NAPAS
1. Changing and/or terminating a part of or all of the Website Content without prior notice or giving any reasons for any updated or supplemented content.
2. Requiring the User to stop accessing the Website and/or using the Website Content in the following cases: a. Infringing NAPAS’s intellectual property rights under Section II of the Terms of Use; b. Using the Website Content in cases restricted or prohibited under Section V of the Terms of Use.
3. Requiring the User to compensate for all damage (if any) in case the User violates the provisions of this Terms of Use.
IV. Use restrictions
NAPAS does not accept any use of Website Content under any of the following cases:Chống phá nhà nước CHXHCN Việt Nam
Sabotaging the Socialist Republic of Vietnam State.Gây rối trật tự công cộng; và/hoặc phạm pháp hình sự
Infringing upon the personal freedom of others; and/or humiliating, defaming, libeling others; and/or harming others.
Disrupting the public order
Committing acts that violate Vietnam law.
Propagating and distributing information of the third party without their consent.
Using the Website Content for business and/or commercial purposes, including but not limited to contests, betting, barter, advertisement or multi-level marketing without prior written consent of NAPAS.
Transmitting virus-infected electronic files that may damage and/or break the operation of other electronic devices
Using robots, spiders and/or any other means to track and collect the Website Content for any reuse purposes without prior written consent of NAPAS.
Using any device, software and/or any other means to infringe or intentionally infringe the Website operation.
Any illegal and/or prohibited actions under Vietnam law.
Acts that infringe upon the legitimate rights and interests of NAPAS.
Any actions that NAPAS unilaterally deems inappropriate or harmful to NAPAS.
V. Rights and responsibilities of users
Use the Website Content (view, extract the content (print, download, forward, …) or share it with others) but only for personal/internal and non-commercial use on the condition that the user must cite the source as well as keep the link (link/url) to the Website Content.
Ensure: (i) comply with the Terms of Use and the provisions of Vietnam laws on accessing the Website and using the Website Content; (ii) do not interfere in, affect the access to the Website and use of the Website Content by other Users; (iii) do not interfere in the Website operation and management of NAPAS.
Terminate the access to the Website and/or use of the Website Content in case the User does not agree with one or some or all of the Terms of Use.
